Terms of Service

1. Acceptance of these terms

By creating an account or participating in a GiftBack exchange, you agree to these Terms of Service. If you don't agree, please don't use GiftBack. We may update these terms from time to time — we'll let you know by email or by posting an updated date at the top of this page. Continued use after an update means you accept the new terms.

2. What GiftBack is

GiftBack is a platform that organizes gift exchanges between people. Here's how it works:

• You join an exchange and share a wishlist.
• We use AI to match you with another participant.
• You each pick a gift for your match from their wishlist (or something you think they'd love).
• GiftBack handles purchasing and shipping through our fulfillment partners (currently US only).
• USDC deposits are held in escrow on the BASE blockchain and released when gifts are confirmed shipped.

GiftBack is a platform, not a retailer. We connect people and facilitate purchases — we don't manufacture, own, or warehouse any goods.

3. Your account

• Age requirement: You must be 18 or older to use GiftBack, especially to participate in USDC escrow. By creating an account, you confirm you are at least 18.
• Wallet-based identity: Your account is tied to a BASE-compatible wallet address. You are responsible for keeping your wallet secure. GiftBack cannot recover access to a lost or compromised wallet.
• Accurate information: Please use your real display name and a valid shipping address. Fake addresses result in undeliverable gifts and hurt real people in your exchange.
• One account per person: Don't create multiple accounts to game matching or extract value from the platform.

4. User-generated content

You may add wishlists, gift notes, profile descriptions, and other content to GiftBack. By doing so:

• You keep ownership of your content.
• You grant GiftBack a limited license to display and use that content to operate the platform (e.g., showing your wishlist to your match).
• You confirm the content doesn't infringe anyone else's rights.
• You understand that your display name and wishlist will be visible to your matched partner.

5. Prohibited uses

You may not use GiftBack to:

• Send or request illegal items (weapons, controlled substances, counterfeit goods, etc.).
• Harass, threaten, or harm other participants.
• Spam people with unsolicited messages or promotions.
• Scrape, reverse-engineer, or abuse the platform in ways that harm other users.
• Create fake accounts or impersonate real people.
• Attempt to manipulate escrow payments or gaming the matching system.
• Launder money or use GiftBack for any financial crime.

Violating these rules may result in account suspension or a permanent ban. We reserve the right to refuse service to anyone.

6. Fees & escrow

• Platform fee: GiftBack charges a 4% fee on each exchange, deducted from the USDC escrow at settlement.
• Escrow: USDC is held in a smart contract on the BASE blockchain until the gift is confirmed shipped. Releasing escrow requires fulfillment confirmation from our systems.
• Refunds: If a gift never ships (due to fulfillment failure or exchange cancellation before shipping), your escrow deposit will be refunded minus any blockchain transaction fees. Once a gift has shipped, refunds are not available — contact us at legal@giftback.app if there's a serious problem.
• Affiliate commissions: Some product links may include affiliate codes that earn GiftBack a small commission at no extra cost to you.
• US only: Gift fulfillment is currently available to shipping addresses within the United States only.

7. Intellectual property

GiftBack's name, logo, design, and original content are owned by GiftBack (operated by its founder). You may not copy, reuse, or redistribute them without written permission. Your content stays yours — we only use it to run the platform.

8. Disclaimers

GiftBack is provided “as-is.” We do our best to make every exchange go well, but we can't guarantee:

• That your match will be a perfect fit (AI matching is good, not magic).
• That every gift will arrive in perfect condition (we'll make it right if it doesn't).
• That the platform will be available 100% of the time.
• That third-party product listings are accurate or in stock.

9. Limitation of liability

To the extent permitted by law, GiftBack's total liability for any claim arising from these terms or your use of the platform is limited to the amount you paid in fees in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages — including lost profits or data loss — even if we were advised of the possibility.

10. Termination

You can close your account at any time in your account settings. We may suspend or terminate accounts that violate these terms. If your account is terminated while an active exchange is in progress, we'll make reasonable efforts to resolve any pending escrow in your favor — but we can't guarantee it if the violation caused harm to another participant.

11. Governing law

These terms are governed by the laws of the State of Delaware. Any disputes that can't be resolved informally will be handled through binding arbitration in Delaware, unless you opt out within 30 days of agreeing to these terms by emailing legal@giftback.app.
